Effective date:

1) Scope & acceptance

These terms govern your use of our website and services. Project-specific Statements of Work (SOWs) override conflicting language.

2) Services

We provide cloud engineering, DevOps, SRE, and related consulting. Deliverables, milestones, and acceptance criteria are defined in the SOW.

3) Your responsibilities

  • Provide accurate information, access, and timely feedback.
  • Maintain licenses/rights for resources you direct us to use.
  • Protect credentials and confidential information.

4) Fees & payment

Fees and schedules appear in the SOW or order form. Late payments may incur interest as permitted by law.

5) Confidentiality

Each party will protect the other’s confidential information and use it only to deliver/receive the services.

6) IP & licenses

Pre-existing IP remains with the original party. Newly developed work is owned/licensed per the SOW. Open-source components remain under their respective licenses.

7) Data protection

We handle personal data as described in our Privacy Policy and, where required, under a Data Processing Addendum.

8) Warranties & disclaimers

We will perform services with reasonable skill and care. Except as expressly stated, services are provided “as is”.

9) Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages. Aggregate liability is limited to fees paid for the affected services in the prior 3 months (unless prohibited by law).

10) Termination

Either party may terminate for material breach if not cured within 30 days of written notice. After termination, each party returns or deletes the other's confidential information.

11) Change orders

Scope changes are documented via written change orders that may adjust fees, timelines, or deliverables.

12) Compliance & export

Each party complies with applicable laws, including export control and sanctions.

13) General

  • Independent contractors; no agency or partnership is created.
  • Subcontractors may assist; we remain responsible for performance.
  • Non-solicitation (optional, if in SOW): you won’t solicit our staff for 6–12 months post-engagement.
  • Force majeure: no liability for delays due to events beyond reasonable control.
  • Publicity: we may list your logo/name with prior written consent.
  • Severability; assignment: unenforceable terms are replaced with valid equivalents; assignment needs consent except in a merger/asset transfer.
  • Governing law: as stated in the SOW; otherwise the laws of the primary delivery jurisdiction.
  • Changes: we may update these terms; the “Effective date” reflects the latest revision.
